OVERVIEW

Welcome to Sableu Atelier. The terms "we", "us" and "our" refer to Sableu Atelier LLC ("Sableu Atelier").

Sableu Atelier operates this website and online store, including all related information, content, features, tools, products and services made available through the website (collectively, the "Services"). Sableu Atelier is powered by Shopify, which enables us to provide the Services.

These Terms of Service, together with any policies referenced herein, establish the terms and conditions governing your use of our Services and your purchase of products and services from Sableu Atelier.

Please read these Terms carefully before using our Services. They contain important information regarding your rights and obligations, including limitations of liability, warranties, intellectual property and dispute-related provisions.

By accessing, browsing or using our Services, or by purchasing products or services from us, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these Terms, please do not use our Services.

SECTION 1 – ACCESS AND ACCOUNT

By using our Services, you represent that you are at least the age of majority in your jurisdiction of residence and have the legal capacity to enter into these Terms.

Certain Services may require you to provide information including your name, business information, email address, billing information, payment information and shipping information.

You agree that all information you provide is accurate, current and complete and that you have the legal right to provide such information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You may not transfer, sell, assign or otherwise provide your account to another person without our prior written consent.

SECTION 2 – OUR PRODUCTS AND SERVICES

Sableu Atelier provides garment development, sample development, private label manufacturing, wholesale manufacturing and related apparel services.

We specialize primarily in women's garments and tailoring, including but not limited to suits, blazers, dresses, jumpsuits, uniforms and other custom apparel.

Product images, colors, fabrics and garment appearance displayed online are provided for illustrative purposes. Actual colors and appearance may vary depending on screen settings, photography, lighting, fabric characteristics and other factors.

For custom and made-to-order garments, the final product may contain reasonable variations resulting from fabric characteristics, production methods and the nature of handmade or specialized garment construction.

Product descriptions, specifications, pricing and availability may be changed at any time.

SECTION 3 – ORDERS AND CUSTOM MANUFACTURING

When you place an order through our Services, you are submitting an offer to purchase. Sableu Atelier reserves the right to accept or decline an order at its discretion.

Payment must be received before an order is accepted unless otherwise agreed in writing.

Customers are responsible for reviewing all order details before payment, including quantities, sizes, colors, fabrics, specifications, shipping information and other applicable details.

For custom manufacturing, made-to-order, private label, OEM/ODM and garments produced according to customer-provided designs or specifications, orders become final once production has commenced.

After production has commenced, such orders generally cannot be cancelled, modified, returned or refunded except where the issue results from a manufacturing defect or an error attributable to Sableu Atelier.

Customers are responsible for reviewing and approving final specifications, measurements, materials, artwork, logos, patterns, designs and other production details before bulk manufacturing begins.

Sableu Atelier is not responsible for errors resulting from inaccurate, incomplete or subsequently changed information supplied or approved by the customer.

Commercial, wholesale and private label orders may be subject to separate written quotations, invoices, development agreements, production agreements or other written terms.

SECTION 4 – PRICES AND BILLING

Prices, quotations, discounts and promotions are subject to change.

The price applicable to an order will be the price agreed upon at the time of purchase or stated in the applicable quotation, invoice or order confirmation.

Unless expressly stated otherwise, prices do not include shipping, customs duties, import taxes, brokerage fees or other charges imposed by the destination country.

For custom development and manufacturing projects, pricing may depend on garment complexity, materials, trims, quantities, pattern development, grading, construction requirements and other project-specific factors.

Customers agree to provide accurate and complete payment information and authorize Sableu Atelier to charge the agreed amount for products and services purchased.

SECTION 5 – SHIPPING AND DELIVERY

Shipping dates and delivery times are estimates unless otherwise agreed in writing.

Sableu Atelier is not responsible for delays caused by shipping carriers, customs authorities, import procedures, weather, strikes, governmental actions or other circumstances outside our reasonable control.

International shipments may be subject to customs duties, taxes, brokerage charges or other fees imposed by the destination country.

Unless otherwise agreed in writing, such charges are the responsibility of the customer.

Risk of loss and responsibility for the shipment may transfer to the customer upon delivery to the shipping carrier, to the extent permitted by applicable law.

SECTION 6 – INTELLECTUAL PROPERTY

All content belonging to Sableu Atelier and displayed through our Services, including our trademarks, logos, branding, photographs, videos, graphics, text, website design, original garment designs and other proprietary materials, is owned by or licensed to Sableu Atelier and is protected by applicable intellectual property laws.

Nothing in these Terms grants you ownership of Sableu Atelier's intellectual property.

You may not reproduce, copy, modify, distribute, publish, sell, license or commercially exploit Sableu Atelier's proprietary content without our prior written permission.

CUSTOMER-PROVIDED DESIGNS AND MATERIALS

For custom development and manufacturing projects, the customer represents and warrants that they own or have obtained the necessary rights and permissions for any designs, sketches, artwork, logos, trademarks, patterns, technical specifications, photographs, reference materials or other intellectual property supplied to Sableu Atelier.

Unless otherwise agreed in writing, the customer retains ownership of intellectual property that they independently created or legally own and provide to Sableu Atelier for development or manufacturing.

Sableu Atelier does not acquire ownership of a customer's original designs merely because the customer provides them to us for development or production.

Sableu Atelier may use customer-provided materials solely as reasonably necessary to evaluate, develop, sample, manufacture and fulfill the customer's project.

Specific ownership rights relating to patterns, grading, technical development, construction specifications, samples or other materials developed during a project may be established through a separate written agreement.

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools or services.

Such tools are provided on an "as is" and "as available" basis. Sableu Atelier does not control and is not responsible for third-party tools, their availability, functionality or terms.

Your use of third-party tools is subject to the applicable terms and policies of the third-party provider.

SECTION 8 – THIRD-PARTY LINKS

Our Services may contain links to websites or services operated by third parties.

Sableu Atelier does not control and is not responsible for the content, accuracy, availability, security or practices of third-party websites.

Your use of third-party websites is at your own risk and subject to the applicable terms and policies of those third parties.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Sableu Atelier is powered by Shopify, which enables us to provide our Services.

Purchases and transactions made through our store are transactions directly between you and Sableu Atelier.

Shopify is not responsible for products, services, orders, fulfillment, manufacturing, customer service or disputes arising directly between you and Sableu Atelier.

Your use of Shopify-powered features may also be subject to Shopify's applicable policies and terms.

SECTION 10 – PRIVACY

Personal information collected through our Services is handled in accordance with our Privacy Policy.

Because our website is hosted by Shopify, certain information may be collected and processed by Shopify and other service providers as necessary to operate the website, process payments, fulfill orders, provide shipping services and otherwise provide our Services.

By using our Services, you acknowledge that information may be processed by service providers located in countries other than your country of residence, subject to applicable privacy laws and policies.

SECTION 11 – FEEDBACK

If you voluntarily provide Sableu Atelier with feedback regarding our Services, including reviews, suggestions or comments about our customer experience or business operations, you grant Sableu Atelier a non-exclusive, worldwide, royalty-free right to use such feedback for purposes of improving and promoting our Services.

This provision does not transfer ownership of a customer's original garment designs, sketches, technical specifications, patterns, concepts or other proprietary development materials to Sableu Atelier.

Customer confidential information and proprietary design materials will not be treated as general public feedback merely because they are submitted to Sableu Atelier during a development project.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

There may occasionally be information on our Services containing typographical errors, inaccuracies or omissions relating to product descriptions, pricing, availability, shipping charges or other information.

Sableu Atelier reserves the right to correct such errors and update information when necessary.

If an error materially affects an order, we may contact the customer regarding the correction or, where appropriate, cancel the affected order and provide a refund of amounts actually paid for the cancelled portion.

SECTION 13 – PROHIBITED USES

You may use our Services only for lawful purposes.

You may not use our Services:

To violate any applicable law or regulation;
To infringe intellectual property or other rights of Sableu Atelier or any third party;
To submit false or misleading information;
To interfere with the operation or security of our Services;
To introduce malicious code, viruses or other harmful material;
To scrape, copy or systematically extract website content without authorization;
To impersonate another person or entity;
To engage in fraudulent or abusive activity;
To interfere with the rights or use of our Services by other customers.

We reserve the right to suspend or terminate access to our Services where we reasonably believe that these Terms have been violated.

SECTION 14 – AGENTS AND AUTOMATED ACCESS

You may not use automated software, bots, agents, scraping tools or similar technologies to access or interact with our Services in a manner that violates these Terms or our technical restrictions.

Any authorized automated access must comply with applicable technical requirements and must not circumvent security, access-control or anti-abuse measures.

We may restrict or terminate automated access that we reasonably determine to be unauthorized, abusive or harmful.

SECTION 15 – TERMINATION

We may suspend or terminate your access to our Services if you violate these Terms or engage in conduct that may harm Sableu Atelier, our customers or our Services.

Termination does not eliminate obligations that arose before termination, including payment obligations.

Provisions concerning intellectual property, customer-provided materials, confidentiality, limitations of liability, indemnification, governing law and any other provisions that by their nature should survive termination will continue to apply.

SECTION 16 – DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, our Services are provided on an "as is" and "as available" basis.

Sableu Atelier does not guarantee that our Services will always be uninterrupted, secure, timely or error-free.

For custom garments, sample development and manufacturing, final results may depend on materials, specifications, measurements, design requirements and other factors supplied or approved by the customer.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded under applicable law.

SECTION 17 – LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Sableu Atelier and its owners, officers, employees, contractors, affiliates and service providers shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of revenue, loss of business opportunities or loss of data arising from the use of our Services or products.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

SECTION 18 – INDEMNIFICATION

You agree to indemnify and hold harmless Sableu Atelier, its owners, officers, employees, contractors, affiliates and service providers from claims, losses, liabilities, damages and reasonable expenses arising from:

Your violation of these Terms;
Your violation of applicable law;
Your infringement of a third party's rights; or
Designs, artwork, trademarks, logos, patterns, materials or other intellectual property supplied by you for development or manufacturing.

This obligation applies to the extent permitted by applicable law.

SECTION 19 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

SECTION 20 – WAIVER; ENTIRE AGREEMENT

Failure by Sableu Atelier to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with applicable policies, written quotations, invoices, development agreements, production agreements and other written agreements expressly incorporated into a particular transaction, constitute the agreement governing the applicable Services.

For custom development, private label or manufacturing projects, a separate written agreement may establish terms that specifically apply to that project. Where a valid project-specific written agreement conflicts with these general Terms, the project-specific agreement will control with respect to that project.

SECTION 21 – ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

Sableu Atelier may assign or transfer these Terms or its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets or similar business transaction.

SECTION 22 – GOVERNING LAW

These Terms of Service and any separate agreements under which Sableu Atelier provides Services shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by applicable law, disputes shall be brought in the appropriate state or federal courts located in Nevada, and the parties consent to the jurisdiction and venue of those courts.
